How to Buy a Business in Kyrgyzstan: Steps and What to Check
A step-by-step guide for buyers: where to look, what an existing business costs in Bishkek, which documents to check and how to complete the deal.
Short answer. To buy an existing business in Kyrgyzstan, choose a listing, ask the seller for financial and legal documents, review them with an accountant and a lawyer, agree on the price and handover terms, sign a contract and transfer the business into your name. If the business being sold is a company, an LLC (OsOO), its list of members changes after the deal and it must be re-registered.

How to buy a business: 7 steps
- Set your budget and sector. Allow not only for the price of the business, but also for working capital for the first few months and for the cost of a lawyer and an accountant.
- Gather options. Browse the business catalogue and listings by city. If nothing fits, post a request to buy.
- Find out exactly what is for sale. It may be the whole company, a stake in it, or only the assets and the location, such as equipment and a lease. The paperwork depends on which it is.
- Ask for documents and figures. The list is below.
- See the business in operation. Visit on different days and at different times, and compare the flow of customers with what the seller tells you.
- Agree on the terms. Put on record the price, how payment will be made, what the deal includes and how much the seller will help after the handover.
- Complete the deal. Sign the contract, hand over the assets under a transfer certificate, and re-register the lease and licences.
What to check before you buy
- Finances: 12 months of bank and cash statements, not just claims about revenue.
- Taxes: filings, and no outstanding debts to the tax service or the Social Fund. Ask the tax service how to obtain a certificate.
- Lease: the term of the contract, who the tenant is, and whether the lease can be transferred to a new owner. For cafes and shops this is often the most valuable asset.
- Ownership: who owns the equipment, the brand and the domain, and whether any of it is pledged.
- Staff: whether they are formally employed and whether key people will stay.
- Reason for sale: why the owner is leaving and what they plan to do next. Agree that they will not open the same kind of business nearby.
How to complete the purchase of an LLC (OsOO)
When a stake in an LLC (OsOO) is sold, the procedure is usually as follows: check the charter, payment for the stake, any encumbrances and the other members' pre-emptive rights; notify them if the stake is going to a third party; sign an agreement; and re-register because the membership has changed (source).
Before the deal, ask a lawyer whether a notary is needed, which documents go to the Ministry of Justice, and what the timing and state fee for re-registration are.
If the business of a sole proprietor (IP) is being sold, the IP itself does not transfer: the buyer registers on their own and buys the assets and rights. Agree the transfer procedure with a lawyer.
Frequently asked questions
Is it safe to buy a business from a listing?
A listing is only a reason to start a conversation. The information in it comes from its authors, so you need to check the documents yourself, ideally with a lawyer and an accountant.
Can I buy a business in instalments?
That is a matter for agreement with the seller. If you reach one, set out the payment schedule in the contract.
Does InvestHub take part in the deal?
No. InvestHub is an information platform for listings: it does not take part in deals and does not guarantee income.
