Buy a Business in Kyrgyzstan as a Foreigner: Prices and 6 Checks

A foreigner can usually own 100% of a Kyrgyz LLC. InvestHub lists 285 businesses: food service asks 250,000-520,000 som, retail 260,000-1,500,000 som. Six checks, nine deal steps, bank payment issues and franchise royalties of 0-5%.

Short answer. Yes, a foreigner can usually own 100% of a Kyrgyz limited liability company (LLC) with no local partner, according to law firm GRATA, although some sectors are restricted. On InvestHub, as of 7 November 2026, food-service sellers typically ask 250,000-520,000 som (about USD 2,860-5,950) and retail sellers ask 260,000-1,500,000 som (about USD 2,970-17,150). Before paying, check the company registry, tax debts, lease, licences, staff and real cash flow. Tie the final payment to state re-registration, not to signing.

Can a foreigner legally buy a business in Kyrgyzstan?

GRATA says foreign investors generally need no special government approval. The National Investment Agency lists national treatment and free transfer of income and capital among investor guarantees. A new investment law was signed in August 2025, so ask your lawyer how its current text applies to your deal.

Special rules cover subsoil use, broadcasting, strategic objects, and agricultural and residential land. Buying into a bank or microfinance company needs a permit.

Land is the main trap. The agency says foreigners generally cannot own land, but a foreign buyer of a building gets fixed-term use of the plot for up to 50 years. GRATA says long leases typically run up to 49 years. Sources differ, so confirm your plot's term with a lawyer.

Owning a share and working in the company are separate questions. A 2025 report says work permit applications go through evisa.e-gov.kg and are decided by the Foreign Ministry Consular Department. Ask the same department about investor visas: we could not confirm the current threshold.

Should you buy LLC shares or only the assets?

Shares. This is the most common route. You become a participant and take the company with its history, so the checks below matter most here. Other participants have a pre-emptive right in proportion to their stakes unless the charter says otherwise. One Kyrgyz accounting guide says that right usually lasts one month from notice and that an individual seller's signature must be notarised. Re-registration can take up to one month. Confirm the notary and filing list with a lawyer.

Assets. You buy equipment, stock and rights, then reassign the lease and licences. It is the route for a sole proprietor, because the registration itself does not transfer. Tax depends on the structure: there is no single rate for every sale, and VAT can apply to assets sold separately. Ask an accountant to model both options before you agree a price.

What is on sale and what do sellers ask?

On 7 November 2026 InvestHub had 285 businesses for sale, nearly all in Bishkek, and you can also check Osh. Food service is 42% of listings and retail 21%. The site also has 26 franchises and separate investment projects.

USD figures use the National Bank official rate of 87.4478 som per USD on 7 November 2026. Some sellers quote in dollars and ask more: our buying guide shows about USD 6,000-19,300 in food service and USD 11,000-40,000 in retail. These are sellers' asking prices, and the final price is negotiated.

What should a foreigner check before paying?

How do you pay a seller across borders?

Kyrgyz state banks screen clients and payments daily against EU, UK and US sanctions lists, and reported ending ties with about 131 companies after 1 May 2026. EU restrictions on Keremet Bank and Capital Bank took effect on 14 May 2026.

Before signing, ask your bank and the seller's bank in writing which documents they need. Prepare the agreement, proof of your funds and an ownership chart. Payment and signing need not happen together, so tie payment to registration. Put any instalments in the contract.

Do you need a Russian speaker or a local partner?

The law does not require a local partner, but practical help matters. Many listings are written in Russian, so a Russian-speaking adviser or translator helps. Choose one the seller does not pay. InvestHub does not verify a business's finances for the buyer unless a listing's verification badges say otherwise.

What are the deal steps?

  1. Set a budget that includes working capital and adviser fees.
  2. Shortlist listings and ask what is sold: the company, a share, or assets and a lease.
  3. Hire a lawyer, an accountant and, if needed, a translator.
  4. Run the six checks and visit at different times.
  5. Agree price, payment schedule and the seller's non-compete in writing.
  6. For a share sale, notify the other participants.
  7. Sign and complete the notary steps your lawyer confirms.
  8. Complete state re-registration, with the final payment tied to it.
  9. Update director, beneficial owner and bank records.

Which red flags should stop the deal?

  • A young company asking for a large prepayment.
  • Many companies registered at one address.
  • Many recent court cases.
  • Repeated changes of director or address.
  • A seller who refuses bank statements or wants full payment before registration.

Is a franchise an easier route?

Costs usually include a lump-sum fee, launch costs, working capital, royalty and sometimes a marketing fee. Among the 8 InvestHub franchises that state a royalty, it runs from 0% to 5%. Banda Panda asks 450,000-530,000 som and its listing states no royalty.

A franchise agreement must be written, and parties must be commercial entities or sole proprietors. Revera says registration applies when intellectual property rights transfer, and the US Commerce Department points to Kyrgyzpatent. The agency lists 5-10% tax on non-resident income, with possible treaty relief. Ask a tax adviser which rate applies to royalties paid abroad.

How do you use the listings?

Browse businesses or franchises, shortlist by sector and city. If nothing fits, post a purchase request.
