Kyrgyzstan LLC for Foreigners in 2026: Visa, Bank, Tax, Permits

How a foreigner registers an LLC or sole proprietorship in Kyrgyzstan in 2026: documents, apostille, power of attorney, bank account, visa-free limits, investment visa, digital nomad status, Single Permit, High Technology Park and tax regimes. Checked 8 November 2026.

Short answer. A foreigner can be a founder of a Kyrgyz LLC, filed with the Ministry of Justice, usually within 3 to 5 working days. A sole proprietorship is registered with the Tax Service instead. Registration alone gives no right to live or work in Kyrgyzstan: citizens of 55 countries get only 30 visa-free days in every 60, so a founder needs an investment visa, Digital Nomad status or a Single Permit. Expect to visit a bank in person even if a representative registers the company. Checked 8 November 2026.

Should a foreigner choose an LLC or a sole proprietorship?

An LLC suits partners, investors and corporate clients. A sole proprietorship suits one person selling services.

How do you register a Kyrgyz LLC step by step?

  1. Settle your legal stay first. Check your passport in the "Do I need visa?" tool.
  2. Collect documents. Use the table above. A corporate founder adds a register extract no older than six months.
  3. Legalise and translate. CIS documents need neither step; Hague Convention documents need an apostille; Belgium, Germany, Austria, Greece and non-Hague states need legalisation. Foreign-language papers need a notarised translation into Kyrgyz or Russian.
  4. File. A founder, the director or a representative under power of attorney may file on paper or digitally. Online filing needs a cloud e-signature.
  5. Declare beneficial owners. The regulation in force since April 2026 requires this at registration.
  6. Wait for the record. Sources differ: up to 3 working days, 3 to 5 (National Investment Agency), or up to 7 in practice in a 2022 law-firm guide. One filing covers justice, tax, statistics and the Social Fund.
  7. Choose a tax regime. The 2022 guide gives 15 calendar days from the certificate date. Confirm with the tax office.

Can it be done remotely or by power of attorney?

Registration, yes. One Bishkek firm describes a notarised power of attorney sent to its office, followed by a 2 to 5 day trip by the company head to open the account. A sole proprietor is harder: the PIN and slip come from a public service centre, and online filing needs an e-signature. We could not confirm proxy filing, so ask your tax office.

How does a non-resident open a bank account in Kyrgyzstan?

For a Kyrgyz company, a 2022 guide lists an application, client profile, notarised registration certificate, tax certificate, signature card and charter, with the final beneficiary disclosed. It estimates 2 to 3 business days.

For a personal account, rules vary by bank. Bakai Bank asks for a passport, a certified translation and proof of lawful stay. A 2022 survey found many banks wanted a temporary registration slip, and some refused powers of attorney. Get the current list from your bank in writing.

Ten million soms is about US$114,000. Terms differ for other passports, so use the portal tool. A 2022 guide says EAEU citizens need no work permit. Overstaying brings an exit visa costing US$200 for up to 3 months and US$1,100 for 3 to 12 months.

Does Kyrgyzstan have digital nomad status in 2026?

Yes. Applications go through dnomad.e-gov.kg. The ministry lists no duty to register your address, a PIN, no work permit, the right to act as a sole proprietor or company, and bank access. Sources disagree on income: a May 2025 report said no minimum applied, while a December 2025 guide lists US$5,000 of annual income and US$3,000 on account. The one-year extension requires a Kyrgyz sole proprietorship or company and medical certificates. Confirm eligible citizenships on the portal.

Does a foreign founder need a work permit?

Plan on yes if you will run the business on site, unless a status exempts you. The Single Permit combines the work visa and work permits. A 2024 regulation counted foreign sole proprietors as foreign workers within the quota. Resolution 312 of 30 April 2026 now governs these documents through 31 December 2026, with the Foreign Ministry issuing them. We found no published exemption for founders. Confirm with the consular service via the e-Visa portal.

What does the High Technology Park offer IT companies?

Residents get 0% VAT, 0% corporate income tax, 0% sales tax, a 1% contribution to the Park and 5% personal income tax for staff. The regime has been open-ended since November 2024. Oversight tightened in 2026. Residents need at least 90% of revenue from permitted activities and at least 80% from exports. Ask the Park for the current admission checklist.

Which tax regime applies?

The general regime means 10% profit tax, 12% VAT with no turnover threshold, and sales tax of 1% to 3%. On the unified tax, sources disagree: one report gives a 3% base rate, while an October 2026 accountant's guide lists 2% to 6% by activity and payment type. Insurance contributions for small firms fell to 12.25%. See our 2026 tax guide and confirm your rate with the Tax Service.

What mistakes do foreign founders make?

Is buying an operating business a better start?

It can be, if you want revenue, staff and premises from day one. You also take on the company's contracts and debts, and you still need a legal stay route. Read our guide to buying a business in Kyrgyzstan, browse businesses for sale, listings in Bishkek or franchises.

Frequently asked questions

Can a foreigner own 100% of a Kyrgyz company?
Yes. The High Technology Park states that 100% foreign ownership is allowed, and foreign founders can form an LLC.

Does a Kyrgyz company give me residence?
No. You need a separate visa, status or permit, and visa-free stays do not cover work.

Can I register a company without visiting?
Usually yes, through a representative under power of attorney. The bank account normally needs a visit.

Where should I check visa rules?
The official e-Visa portal.
